Axiom's advocates are regularly engaged in the most complex cases and transactions in these fields. We provide both advisory and advocacy services in these areas. Our members act in the full spectrum of company law issues, including:
- Company acquisitions or disposals - we provide advice both in relation to the structuring of transactions and in relation to disputes arising from post-completion issues, such as breach of warranties, payment and calculation of earn-out consideration or compliance with restrictive covenants.
- Shareholders' disputes - the most common action in this area is the minority shareholders' action for unfair prejudice in terms of section 994 of the Companies Act 2006. But complex disputes between shareholders also arise outside that context.
- Actions relating to directors' duties - these can be stand-alone actions (such as actions regarding gratuitous alienations and unfair preferences) or can arise during disqualification proceedings.
In terms of transactional work, we advise and represent companies, creditors and shareholders in relation to corporate restructurings, schemes of arrangement and reductions of capital and a wide range of corporate finance matters.
